Business Overview & Position Objective:

The Transaction Structuring Group supports the process of issuing new securities (debt , equity, structured products including derivatives) through the drafting of contracts, prospectuses, and regulatory filings as well as reviewing other legislative procedures.

Position Responsibilities:

  • Support CMO and Markets for the products listed below by drafting and reviewing contracts, prospectuses, and other related deal related documents as well as confirming and providing advice on legislative matters to support origination efforts.

  • Debt and equity offerings by Japanese issuers in and outside Japan

  • Public offerings of securities by non-Japanese issuers in Japan (Samurai bonds/foreign stocks)

  • Private placements of notes/warrants by Japanese/non-Japan issuers under emtn/warrant issuance Programs

  • Public offerings of investment trusts in Japan

Qualification Required Experiences Knowledge Skills Licensed ):

  • English language skills (reading comprehension and writing) for contracts

  • Fundamental knowledge of law (civil code, companies act, bankruptcy law is preferred)

  • Self-motivated and capable of delivering results on time

  • Knowledge and skills to proactively partner with other departments in the effort to support the business

  • Eager to manage a wide range of deals

Required Language Level:

Japanese - Advanced Level (Can communicate like a native speaker and perform complex tasks)

English – Advanced Level (Can communicate like a native speaker and perform complex tasks)
