Legal Counsel 3
The Legal Counsel will provide a broad range of in-house legal services for Oracle with focus on transactional work, i.e. supporting various Oracle lines of business in closing deals for IT products and services. The position is located in São Paulo and will report to the Senior Legal Manager for Brazil.
The Legal Counsel will be responsible for the following main tasks and activities:
Reviewing/drafting of non-standard contracts;
Advising the various lines of business (License, Hardware, Support, Consulting, Cloud etc.) on legal and contractual matters, including the structuring of contracts and appropriate documents to be used;
Assisting the lines of business in negotiations with customers and partners (via email, phone and face-to-face meetings);
Working closely with sales management to ensure appropriate prioritization of legal resource;
Working closely with the Deal Management group, including in connection with internal approvals, to ensure a smooth and efficient support to the lines of business and compliance with Oracle policies and procedures;
Localizing Oracle model standard agreements/clauses;
Responding to ad-hoc queries;
Identifying/analyzing/evaluating risks in connection with business transactions, including in connection with internal approvals to assist approvers make decisions on an informed basis;
Assist in ensuring business transactions are in compliance with Oracle business practices, policies, procedures as well as local laws;
In collaboration with the LAD Litigation group, managing disputes/litigation;
In collaboration with the LAD C&E group (Compliance & Ethics), assisting with investigations and assessments re. compliance cases and matters;
Working with other country lawyers in LAD in connection with cross-border deals and LAD-wide initiatives and projects;
Providing training and updates to various lines of business and other functions;
Performing various other tasks as are relevant for/required by an in-house lawyer.
Excellent oral and written communication, negotiation and presentation skills;

Minimum job requirements:
Fluent in Portuguese and English, oral and written (Spanish language proficiency will be a plus);
Excellent drafting skills in Portuguese and English (Spanish will be a plus);
Law degree (J.D. or equivalent);
5 - 8 years of relevant working experience as a lawyer (practical experience from a reputable law firm or IT industry is preferred);
Familiar with cloud computing and IT infrastructure;
Experience with Contracts and/or Litigation (IT industry is preferred);
Knowledge of Data Privacy (GDPR, LGPD).
Detailed Description and Job Requirements
Provide legal support across all lines of business enabling profitable growth while mitigating legal risks and assure adherence to governance policies, ethics, and country specific laws and regulations
Responsible for providing legal advice to the organization. Close liaison to business in providing a variety of corporate and commercial legal services. May perform litigation on Oracle's behalf or coordinates litigation and other legal, administrative or investigative actions handled by outside counsel. May draft, review, and negotiate major and/or non-standard technology contracts with public and private sector customers, including licensing agreements, professional services agreements, and cloud services agreements. May advise on legal issues involving government and regulatory compliance. Responds to ad hoc queries to include identification, analysis, and evaluation of risks in order to provide appropriate legal solutions. Works closely with other lawyers throughout Oracle and coordinates legal matters handled by outside lawyers. Demonstrates deep general commercial or functional knowledge across a sub discipline within the individual's specialty area(s), (e.g., general corporate law, antitrust/competition law, securities compliance and regulatory, employment law, immigration law, cloud transactions, data privacy, risk management asset-backed financing, contract management, intellectual property, trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry)
Job duties are varied and complex utilizing independent judgment. May have project lead role. 5 years related experience. Bachelors degree in computer science, computer engineering, or similar background is a plus for roles within certain sub disciplines. Completed law degree and member of bar association in relevant jurisdictions. Excellent legal skills and business judgment in areas of responsibility. Proficient writing skills.
