DESCRIPTION

An attorney with 7+ years of experience is needed to join the JPMorgan Chase Corporate and Regulatory Group to provide legal support for the Firm’s proprietary M&A transactions and strategic investments. In this role, the attorney will provide support and advice to the Firm’s (i) Corporate M&A group on proprietary mergers, acquisitions, divestitures and joint venture transactions and (ii) Corporate Strategic Investments group on investments in FinTech startups, venture capital transactions and heritage private equity divestitures. In addition, the attorney will work closely with business and legal colleagues in all of JPMorgan Chase’s lines of business globally (Asset Management, Corporate & Investment Bank, Consumer and Community Bank, and Commercial Bank ) in support of the proprietary M&A and Strategic investments being undertaken by those groups.

This position is located in Columbus or Plano and responsibilities include:

  • Leading transaction deal teams, including in the negotiation of purchase and sale agreements and other investment documents, conducting due diligence, structuring transactions to mitigate liability to the Firm, and managing internal processes through closing.

  • Providing legal guidance and expertise including general advice and drafting of transaction documentation and contracts.

  • Working with the Bank Regulatory Legal and the control functions, including Compliance, Risk, and Audit to assess regulatory requirements relating to each transaction and providing appropriate solutions to address such requirements.

  • Assessing legal risks arising from such transactions, and reviewing policies and procedures and process changes to mitigate such risk.

The successful candidate will have the following personal attributes:

  • 7+ years of extensive Mergers & Acquisitions experience for financial institutions with a major law firm (or equivalent in-house experience);

  • Attorney must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.
